     DECREE OF FIXED-DATE PROPERTY SALE WITHOUT AUCTION

 

The delegate judge, having examined the specific technical reports delivered by the appraisers,

Considering that there are no conditions preventing the sale of the appraised Real Estate;

highlighting that there is no operational reason suggesting an auction sale

                                                       ORDERS

To proceed to the sale without auction of the Real Estate concerning the same plot as described below:

 “Plot of land suitable for construction with a surface of about 20,000 m², located in the Municipality of Teramo, in Gammarana street, bordering on: Via Gammarana, the property of the Nucleo Industriale di Teramo (Industrial Group of Teramo), the Province and the property of Mr. Di Franco, except as otherwise specified; the above is registered at the Land Register/Building Cadastre of the abovementioned Municipality page 63 parcels 119 – 121 – 210 (portion) – 348 (portion)  and 374 and page 64 parcels 567 – 568.

The parcels referring to the buildings shall be suppressed at the Land Register further to their demolition (DOCFA procedure).

The indicated parcels shall be subjected to change and/or transformation as well as concerning the whole surface, once the on-going land dividing will be completed.

The land-street strip located on the west side of the parcel 1044 on page 63 ENCL. C, turns out to be a general purpose and service strip for parcel 119 and even for parcel 1044 on page 63 ENCL. C.

The building potential as estimated in the Building/Demolition Permit No. 10054 of April, 9 2009 is 75% of the demolished volume, quantified as 227,068 m², therefore the maximum building volume is 170,301 m², which will be realizable according to the instructions included in the Masterplan card B3  9 – Area of urban integration – Former Area Villeroy & Boch “according to the current Masterplan approved by the bill of the town council No. 75 of August 13, 2008 issued  by the Municipality of Teramo.”

on the following terms and conditions:

1)      The sale shall occur as a single land plot at the starting price of 6.800.000,00 €.

2)      The purchase offers, which are irrevocable for a period of 90 days as of delivery, shall be presented by statement to be submitted to the Bankruptcy Registry of the Court of Teramo, within 1 p.m., 23/11/2010;

3)      Each bidder, except the subjects who are not admitted by law to take part to the sale, shall pay in together with the offer a sum which should not be less than 5% of the starting price of the relevant land plot, to be considered as deposit through bank guarantee, specifically bound to the participation to this sale.

4)      The tender winner shall provide the payment of the remaining amount, possibly

increased, if necessary, for the transcription of the transfer decree (for decree transfer expenses, change of Cadastral Registry, stamps and notaril charges as well as for the legislative charges in charge at the moment of sale and registration) according to the instructions below:

a)      30 % (Thirty percent) of the amount of the assignment price within 60 (sixty) days after sale hearing date.

b)      30% (Thirty percent) of the amount of the assignment price within 120 (one hundred and twenty) days after sale hearing date.

c)      the balance money within 180 (one hundred and eighty) days as after sale hearing date.

5)      Should the person submitting the highest offer not be present at the sale hearing, the relative deposit shall be acquired by the trustee,  unless it occurs another assignment at a higher price.

6)      The offer shall include, besides the offer price, also the particulars of the bidder, the details of the ID card, of the tax code and, for married individuals, even the matrimonial regime of the spouses.

7)      All the offers, for which it will be necesary to verify the formal correctness, shall be submitted under seal.

8)      Should an offer show a lower value than the starting price, it will be considered as showing the minimum price.

9)      In the case of an offer submitted on behalf of a society or a body a stamped certificate shall be presented, issued by the Company Registration office at the Chamber of Commerce, showing the company or body constitution and the powers granted to the bidder attending the hearing.

10)  The bidders, moreover, shall declare the address of their residence, i.e. elect domicile.

11)  However, each offer shall contain explicit statement of knowledge and acceptance of what the present document foresees, as well as of the appraisers’ report .
Appoints as assistant for the advertising operations the Company " Comunic’Arte s.r.l. " and arranges that this shall provide for the publication with reference to the protocols approved by the decree of June 6, 2008, according to the specific typology chosen by the trustee, except as otherwise specified – to be performed even abroad –, which could be arranged by the trustee due to the peculiariy of the real estate for sale.

                                                          Determines

The date 25.11.2010 at 11:00 am, for opening the bids in front of him concerning the received offers and for afterwards assigning the sale and hearing the trusee concerning the abovementioned offer and any possible acquired offers, also with reference to the arrears of the sale hearing.

the chancellor to communicate the present decree to the trustee, as well as to the appointed guardians;

the chancellor to provide commercial advertising –  according to the above and through the assistant “Comunic’Arte s.r.l.” – of this sale decree, conveying also that the offers, asserted by deposit in the percentage previously expressed in the decree of offer for sale can be submitted by delivering it to the Register of Insolvences within Tuesday, 23/11/2010 at 1,00 pm according to the forms  established by the Office.
